Enterprise AI governance has a credibility problem. Not a capability problem — the platforms are capable. Not a logging problem — the logs are comprehensive. The problem is evidentiary: when a regulator asks a federally regulated financial institution to demonstrate that its AI systems operated within documented, verifiable controls, the evidence produced by the AI infrastructure vendor cannot, by definition, be independent. This is not a new concept. It is the same principle that has governed financial audit for decades. Management cannot serve as its own external auditor. The entity whose conduct is under examination cannot hold its own audit record. It now applies to AI.
The question is not whether your AI systems are governed. It is whether the evidence of that governance is credible to an external regulator who has no obligation to take your vendor's word for it.
What AI Platforms Provide — and What They Cannot
Modern enterprise AI platforms deliver genuine governance capability. They log agent actions, enforce access policies, track model versions, and surface operational metrics. These are valuable. They are not, however, sufficient for regulatory audit purposes.
The reason is structural. Every audit record produced by an AI infrastructure platform is held within the same vendor stack as the system it governs. That means the vendor can modify, suppress, or selectively present the record — whether maliciously, negligently, or under legal compulsion. The record's integrity depends entirely on the vendor's attestation, not on independently verifiable proof.
For operational monitoring, this is acceptable. For regulatory audit evidence — the kind that must withstand external scrutiny from a regulator with enforcement authority — it is not.
The OSFI E-23 Requirement
OSFI Guideline E-23, effective May 2027, requires Canadian federally regulated financial institutions to maintain runtime evidence of AI model lifecycle governance. This applies to banks, insurance companies, and federally regulated trust companies operating AI in material business processes.
The guideline does not specify the technical mechanism. It does require that the evidence be producible and credible. An audit record held within the AI vendor's infrastructure does not satisfy a credibility standard that assumes the vendor's interests may diverge from the institution's regulatory obligations.
There is also a jurisdictional dimension. Major AI infrastructure platforms are operated by US-headquartered companies subject to US law, including provisions that can compel disclosure of data held in their systems. For a Canadian federally regulated institution, an AI governance record held in a foreign-controlled infrastructure stack carries data sovereignty risk in addition to the independence problem.
What Independent Audit Custody Actually Requires
An AI governance audit record that satisfies the independence standard requires three properties that platform governance logging does not provide by default:
- Tamper-evident integrity — cryptographic hash-chain, mathematically detectable modification
- Independent custody — held by entity with no operational relationship to the AI infrastructure
- Canadian data residency — domiciled in Canadian jurisdiction, not subject to foreign legal compulsion
Why This Cannot Be Solved by Building More
The natural response from incumbent platform vendors will be to add cryptographic logging, extend their audit capabilities, and position enhanced governance as a product feature. Some will do this. It will not resolve the independence problem.
A platform vendor offering to independently custody its own clients' audit records is not offering independent custody. The independence is the product. You cannot sell independence while retaining control.
This is not a criticism of any specific vendor's technical capability or good faith. It is a structural fact.
Governed AI infrastructure and independent audit custody are not competing products. They are sequential requirements. You need both. Only one of them can come from your AI platform vendor.
The Practical Implication for Regulated Institutions
If your institution is running AI in material business processes — credit decisions, risk assessment, claims processing, compliance monitoring — and you are subject to OSFI oversight, the question to answer before May 2027 is not:
“Does our AI platform have governance features?”
The question is:
“Can we produce AI governance evidence that a regulator will accept as independently verifiable — evidence whose integrity does not depend on our vendor's attestation?”
Those are different questions with different answers.
