Terms of Service

Effective: May 1, 2026

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you or the entity you represent ("Customer", "you") and Optimized Artificial Intelligence Systems Inc. ("OAIS", "we", "us", "our"), incorporated in Ontario, Canada. By accessing or using our websites, software, APIs, SDKs, or services (collectively, the "Services"), you agree to be bound by these Terms.

2. Enterprise Subscriptions & AWS Marketplace

If you purchase or subscribe to OAIS Sentinel through the AWS Marketplace, your purchase and use are governed by the Standard Contract for AWS Marketplace (SCMP) and any applicable AWS Marketplace Private Offer terms entered into between you and OAIS, which take precedence over these general Terms in the event of any conflict.

3. Sovereign Architecture & Customer Data

Our Services are engineered under a sovereign, zero-knowledge architecture. You retain exclusive custody of your cryptographic keys and HMAC salts. Raw prompt inputs, model completions, and proprietary enterprise data are salted and hashed client-side within your environment prior to cryptographic ledger anchoring. OAIS does not store, process, or inspect raw prompt contents.

4. Intellectual Property Rights

OAIS retains all right, title, and interest in and to the Services, including all software, source code, cryptographic ledger protocols, Merkle tree implementations, algorithms, user interfaces, documentation, trademarks, and trade secrets. You are granted a limited, non-exclusive, non-transferable license to use the Services in accordance with your subscription tier.

5. Restrictions on Use

You agree not to:

• Reverse engineer, decompile, disassemble, or attempt to derive source code from any non-public component of the Services;
• Bypass, disable, or tamper with any security controls, hardware attestation seals, or cryptographic verification routines;
• Conduct unauthorized penetration testing, denial-of-service simulations, or vulnerability scans against OAIS infrastructure without prior written authorization;
• Use the Services to facilitate illegal activities or violate applicable financial or privacy regulations.

6. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. OAIS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL OAIS OR ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE SERVICES. OAIS'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY CUSTOMER TO OAIS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

8. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada.
